2. Description of Service

5. Your Content

You retain all ownership rights to any content you upload to the Service, including BIM models, IFC files, drawings, project data, and any other materials ("Your Content"). We do not claim ownership of Your Content.

By uploading Your Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

6. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS), encryption at rest, tenant-isolated data architecture, tamper-evident audit logging, and Content Security Policy (CSP) headers. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

In the event of a data breach, we will notify affected users in accordance with applicable laws and regulations, typically within 72 hours of becoming aware of the breach.

7. Intellectual Property

The Service, including its design, features, and underlying software, is owned by ApexBIM and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

ApexBIM, the ApexBIM logo, and other trademarks associated with the Service are trademarks of ApexBIM. You may not use these trademarks without our written permission.

8. Open Standards

The Service is built on open BIM standards, including IFC (Industry Foundation Classes), BCF (BIM Collaboration Format), and COBie (Construction Operations Building Information Exchange). You can export your data in these formats at any time. We do not lock your data into a proprietary format.

9. Payment and Billing

Paid subscription tiers (Pro, Pro Plus, Enterprise) require payment of the applicable subscription fees, as described on our pricing page. Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.

All payments are processed securely by Flutterwave, our payment processor. We do not store your credit card information. You authorize Flutterwave to charge your payment method for the subscription fees until you cancel your subscription.

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods, except where required by law.

We reserve the right to change our fees upon reasonable notice. Fee changes take effect at the start of your next billing cycle after the notice.

10. Service Availability

We strive to maintain 99.9% uptime for the Service (Enterprise tier includes a Service Level Agreement). However, the Service may be temporarily unavailable due to scheduled maintenance, system failures, or factors beyond our control.

We are not liable for any downtime, data loss, or business interruption caused by Service unavailability, except as explicitly provided in an Enterprise SLA.

11. Limitation of Liability

To the maximum extent permitted by law, ApexBIM and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data.
  • Business interruption or delay.
  • Cost of procurement of substitute goods or services.
  • Any claim by a third party.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless ApexBIM and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any content you upload to the Service.

13. Termination

You may close your account at any time by contacting us or using the account settings page. Upon account closure, your data will be retained for 90 days and then permanently deleted, unless required by law to retain longer.

We may suspend or terminate your account at any time, with or without cause, and with or without notice. If we terminate your account for cause (violation of these Terms), no refund will be provided.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the modified Terms.

15. Governing Law
